Terms and Conditions for TikTok Shop US Spotlight Creator Incubation Program

TikTok reserves the right to update the specific timing of the program.INTRODUCTION:Welcome to the TikTok Shop US Spotlight Creator Incubation Program ("Program"). These Terms and Conditions ("Terms") govern your participation in the Program. By participating, you agree to (i) TikTok’s Terms of Service; (ii) TikTok’s Privacy Policy; (iii) TikTok’s Community Guidelines; (iv) TikTok Advertising Policies; and (v) any other terms, conditions, and/or rules published or made available by TikTok, as such terms may be amended from time to time (the “Platform Documents”). You further acknowledge and agree that all content provided by you in connection with this program (“Content”) is “User Content” as such term is defined in Terms of Service. To the extent there is any conflict or inconsistency between the provisions of these Terms and the provisions of the Platform Documents, the provisions of these Terms shall control.
PROGRAM DESCRIPTION:The TikTok Shop US Spotlight Creator Incubation Program aims to help potential high-quality creators expand their business and provide incentives for content creation. The Program provides support to participating creators on a monthly basis. To remain in the Program and receive benefits in the next month, creators must continue to meet the eligibility criteria, to be reassessed at the end of each calendar month.
PROGRAM MECHANISM
  • Assessment period: The performance of each creator shall be evaluated based on data accumulated during a defined "Assessment Period." The Assessment Period is defined as a rolling 30-day period calculated retrospectively from 23:59 (UTC+0) on the final day of each calendar month. All performance metrics and eligibility criteria must be met within this 30-day window to qualify for the subsequent Benefits Period.
  • Announcement of Results: The results of the monthly assessment identifying the creators who will be eligible for the next monthly period of the Program will be officially announced on or around the second (2nd) day or third (3rd) day of the calendar month following the Assessment Period, subject to potential delays due to data processing, system calculations, and other verification procedures.
  • Benefit period: The "Benefits Period" is the rolling period during which eligible creators can receive the Program's benefits. The Benefits Period shall commence immediately upon the official announcement of the assessment results from the current Assessment Period, and will extend until the official announcement of the assessment results from the subsequent Assessment Period. While most Program benefits will be activated at the start of the Benefits Period, certain tangible or digital assets, such as sample coupons, may require additional processing time
ELIGIBILITY CRITERIA:To be considered for the Program, creators must meet all of the following criteria during the specified Assessment Period. Creator eligibility is re-assessed on a monthly basis based on these same standards.
a. Active Follower Count: The creator must maintain an average of over one thousand (1,000) Daily Active Followers on their TikTok account over the Assessment Period. "Daily Active Followers" are defined as followers who have engaged with the Creator's content or profile within a 24-hour period, averaged over 30 days.
b. GMV: The creator's GMV generated during the Assessment Period must be greater than zero ($0) but must not exceed sixty thousand U.S. dollars ($60,000).
c. Good Quality Volume: The creator must have published a minimum of two (2) shoppable videos during the Assessment Period which are classified as "Good Quality Videos" during the Assessment Period, as determined at our sole discretion by our internal content evaluation system.
d. Good Quality Rate: The Creator's "Good Quality Video Rate" must be at least twenty percent (20%). This rate is calculated as the total number of Good Quality Videos published during the Assessment Period divided by the total number of all videos published in the same period.
Note on Good Quality Video Processing Time: Please note that our internal content evaluation system can take a few business days to process and classify videos. To better ensure your content is included in given Assessment Period, it is strongly recommended that videos be published in advance of the final days of an Assessment Period. Videos published too close to the end of an Assessment Period may not be processed in time and, consequently, may not be counted towards that period's eligibility determination..
THE INCENTIVE AND SUPPORT: The benefits offered to eligible creators in connection with the Program will vary for each monthly Benefit Period, though can include some of the following benefits. Please refer to the announcements on the Program's page within Creator Center during a given Benefit Period for more specific information:

Marketing supportNon-violative shoppable videos posted during the Benefit Period will have chance to receive additional marketing support, which can help your videos get more views and reach a wider audience.
Sample couponEligible creators can have the opportunity to claim additional sample coupons for use when purchasing samples. These sample coupons will be available in limited quantities among all eligible creators on a first-come, first-serve basis, and the amount and denomination of available sample coupons can vary for each month's Benefit Period.
Discount voucherCertain product promotion opportunities offered through the Program can offer "discount vouchers," which allow eligible creators to offer special discounts to their audience.
TikTok BonusCertain product promotion opportunities offered through the Program can offer a TikTok Bonus, which allows eligible creators to earn additional funds for promoting and generating sales of eligible products.
PUBLICITY GRANT AND LICENSE/USE OF SUBMISSIONS: In addition to, and without limiting, the rights and licenses granted to TikTok in the Terms of Service, you hereby grant to TikTok and its affiliates, successors, licensees and assigns, all necessary rights and licenses to the Content, including, without limitation, an unconditional, perpetual, worldwide, non-exclusive, irrevocable, fully paid, royalty-free and fully transferable license to (a) store, access, cache, reproduce, process, adapt, edit, create derivative works from, host, stream, transmit, communicate, make available, distribute, publicly perform, publicly display, and otherwise exploit the Content in any form or medium, whether now known or later developed, and make, use (including, without limitation, in and in connection with paid media and sponsor integrations and/or placements), transfer, import, and exercise any and all such rights in and to the Content, (b) in TikTok’s sole discretion, use and make any reproductions and/or recordings of the Content (or any elements thereof) or any other assets or content provided by you to TikTok, necessary or desirable to distribute, facilitate, market and/or promote (for paid advertising, sponsorships, or otherwise) the Content on the Platform or on TikTok’s official social media accounts (e.g., Twitter, Instagram, Facebook, YouTube), and (c) reference your name and participation in the Program in blog posts, press releases, and other media. You also agree that such license to TikTok extends to TikTok’s use of yours name, voice, image, likeness, and biographical information, including, without limitation, use in and in connection with the Content, the advertising, publicity, promotion, and exploitation of the Content, the Program and/or the platform, and in paid media. TikTok, in its discretion (based on its good faith assessment of potential music, intellectual property and other rights issues), may “geo block” certain countries so that the Content is not viewable in those countries, and TikTok makes no representation or warranty as to the availability of the Content in a particular country. Released parties are not responsible for any unauthorized use of submissions by third parties. Sponsor has no obligation to make use of the rights granted herein.
USE OF DATA: TikTok may collect personal data about the Program's participants in accordance with its privacy policy. Please review TikTok’s privacy policy at https://www.tiktok.com/legal/page/us/privacy-policy/enTAXES AND COMPENSATION Creators are solely responsible for any tax obligations, filings, or reporting arising from benefits, incentives, or earnings received under the Program. TikTok may provide earnings data upon request but does not provide tax advice.
GENERAL:
  1. TikTok reserves the right to disqualify any participant if it has reasonable grounds to believe that participants: (i) have tampered with or attempted to tamper with the process or operation of the Program; (ii) you have breached these Terms or any Platform Document; (iii) you have engaged in any activity not in the spirit of the Program; (iii) you have made misrepresentations or engaged in any illegal, criminal or fraudulent activity in connection with the Program; or (iv) you have employed any agent or bot or automated process to participate for you.
  2. TikTok is not responsible for any event of force majeure (including natural disasters, activities subject to the instructions of government agencies, cyberattacks, pandemic, actions taken by governments meeting the 'force majeure' definition), system failure qualifying as 'force majeure', actions of third parties (other than our subcontractors), which results in loss, damage or disappointment suffered by you as a result of your participation in (or inability to join) the Program.
  3. TikTok does not assume any responsibility or liability for any inaccurate or failed electronic data transmission, technical faults, failed entries nor any inaccessibility or unavailability of the internet or any other equipment not in our control, except to the extent we are responsible for such failure or unavailability.
  4. In the event of any dispute arising regarding the Program, or relating to the corresponding interpretation of these Terms, TikTok's decision shall be final and binding on all parties.
  5. If any of the terms herein are found to be unenforceable, then they shall be deleted from these Terms and the remaining terms shall survive and remain in full force and effect.
  6. TikTok reserves the right to update or amend these Terms at any time. Continued participation in the Program after any such changes constitutes acceptance of the revised Terms.
  7. These Terms wholly incorporate and are subject to TikTok's arbitration terms in the Terms of Service.
