Effective Date: April 21st, 2025
These Terms and Conditions (“Terms”) govern the use of the Flat Fee Collaboration service (“Service”) provided by TikTok Inc. (“Platform,” “TikTok Shop,” “we,” or “us”) to sellers (“Seller” or “you”) who engage with creator affiliates to produce shoppable videos for the promotion of their products. The Terms are subject to, and incorporate by reference, the TikTok Shop Seller Terms of Service, the TikTok Advertising Policies and any applicable TikTok Shop policies and guidelines as updated or amended from time to time (collectively, “Online Terms”). By using the Service, you agree to comply with these Terms.

1. Services Provided by TikTok Shop

Under this Agreement, TikTok Shop will provide the following services as part of the Flat Fee Collaboration plan:

• Creator Video Review: We will review creator-generated video content to ensure it complies with applicable TikTok policies.
• Tools for Video Review: We will provide you with tools to review and approve creator content.
• Collaboration Management: We will track milestones for the collaboration, such as invitation acceptance, video submission, and approval, to ensure the timely progress of each collaboration.

2. Collaboration Request Setup

2.1 Selecting the Collaboration Method

• To initiate a collaboration, you must enter the “Affiliate” module in Seller Center and select the “Flat Fee + Commission Invite” collaboration method. This method allows you to pay TikTok Shop a flat fee for platform services and for facilitating creator engagement.

2.2 Setting Up the Collaboration

• Video Approval: You may choose whether to review and approve the video before it’s posted.
• Product Selection: You can select a single product to feature in the collaboration.
• Sample Requests: You can opt to provide auto-approved or no product samples to the creator. If you provide samples, they will be exempt from seller review and approval.
• Creator Search: You may use the Platform’s tools to search for creators, including those recommended by the platform.
• Fee Proposal: You will propose a flat fee and commission rate as allowed by the system to offer the creator for each collaboration request.

2.3 Payment for Collaboration

• The flat fee you propose will be charged to your account upon submission of the collaboration request. You have a limited amount of time as indicated in the system to complete the payment to the Platform; if the payment is not processed within the time required by the system, the collaboration request will be canceled.
• Once the creator accepts the collaboration, the payment will be "locked", and the funds cannot be refunded unless the collaboration is canceled under specific circumstances.

3. Video Review and Approval Process

3.1 If Seller Review is Not Required

• Once TikTok Shop reviews and approves the creator’s video, the Platform will initiate the flat fee payment to the creator, and the video will be posted automatically or manually by seller.
• Note: The product in the collaboration will not appear in the creator’s personal showcase.

3.2 If Seller Review is Required

• Approval: If you approve the video within 14 days, the creator will be paid the flat fee, and the video will be posted manually by you.
• Rejection: If you reject the video within 14 days, the creator will not receive the flat fee, and the video will not be posted. You may request a revision. If the creator does not submit a revised video within 7 days, the collaboration will be canceled.
• Failure to Act: If you do not take any action within 14 days, the creator will still be paid the flat fee, but the video will not be posted automatically. You may choose to post the video manually.
• Excessive Rejections: If the video is rejected by you five times and still does not meet your approval, the collaboration will be canceled.

4. Post-Approval and Video Usage

4.1 Payment and Posting

• Once the video is approved and posted (either automatically or manually by you), the creator will be paid the flat fee.
• The seller's “locked” funds will be reduced by the amount TikTok Shop paid to the creator once the video is live.

4.2 Creator’s Authorization

• Upon posting, you are authorized to use the video as an advertisement within the specified authorization period. The creator cannot modify the video or change the product link during this period.
• The video will be synced to the TikTok Account Manager (TTAM) material library, where you can use it for direct advertising.

5. Cancellation of Collaboration

5.1 Collaboration Cancellations

• If the collaboration is canceled due to your rejection of the video or failure to approve it within the designated time frame, the creator will not be compensated.
• In such cases, the flat fee payment will become available to be used for future collaborations.

6. Refunds and Credits

6.1 Refunds

• At the end of each calendar year, TikTok Shop will process a batch refund for any remaining "available" credits.
• "Available" credits can also be refunded if you request it or if you close your Shop account.

7. Liability and Indemnification

7.1 Seller’s Responsibilities

• You are responsible for ensuring that the collaboration request, video approval, and payment are processed in accordance with these terms.
• You agree to indemnify and hold TikTok Shop harmless from any third-party claims related to your use of the Service.

7.2 Platform’s Limitations

• While TikTok Shop will use reasonable efforts to provide the services, we are not liable for any damages, losses, or claims arising from your actions or the outcome of any collaboration.

8. General

a. TikTok is not responsible for any event of force majeure (including natural disasters, activities subject to the instructions of government agencies, cyberattacks, pandemic, actions taken by governments meeting the 'force majeure' definition), system failure qualifying as 'force majeure', actions of third parties (other than our subcontractors), which results in loss, damage or disappointment suffered by you as a result of your participation in (or inability to join) the Flat Fee Collaboration program.b. TikTok does not assume any responsibility or liability for any inaccurate or failed electronic data transmission, technical faults, failed entries nor any inaccessibility or unavailability of the internet or any other equipment not in our control, except to the extent we are responsible for such failure or unavailability. c. Through participating in this Flat Fee Collaboration program, you acknowledge and agree that TikTok makes no guarantee regarding collaboration or content effectiveness; content effectiveness may be influenced by various factors, and TikTok does not promise or guarantee any specific sales growth or performance improvement.
d. In the event of any dispute arising, or relating to the corresponding interpretation of these Terms, TikTok's decision shall be final and binding on all parties. e. Other than as expressly set out in these Terms, TikTok does not make any promises or commitments about the program, or the Platform, or its reliability, availability, or ability to meet your needs. f. If any of the terms herein are found to be illegal, invalid or otherwise unenforceable, then they shall be deleted from these Terms and the remaining terms shall survive and remain in full force and effect.g. TikTok Shop reserves the right to modify or amend these Terms at any time. Any changes will be communicated to you via the Platform.
