Flat Fee Collaboration – Creator Terms & Conditions

Effective Date: April 21st, 2025
These Terms and Conditions (“Agreement”) govern your participation as a creator (“Creator” or “You”) in TikTok Shop’s “Flat Fee Collaboration” service (“Service”). By accepting a collaboration request, you agree to comply with the terms outlined below. The Agreement is subject to, and incorporates by reference, the TikTok Creator Campaign Terms, TikTok Terms of Service, TikTok Shop Creator Terms of Use, TikTok Community Guidelines, TikTok Advertising Policies, and any applicable TikTok Shop policies and guidelines as updated or amended from time to time (collectively, “Online Terms”).

1. Collaboration Request and Acceptance

1.1 Receiving Collaboration Requests
  • Once a seller completes their payment to TikTok Shop, you will receive a collaboration request.
  • Refusal of Collaboration: You may choose to refuse the collaboration by clicking the “Decline” button or by not accepting the request within 5 days. In either case, the collaboration will be canceled.
  • Acceptance of Collaboration: If you wish to participate, click the “Accept” button to confirm your involvement in the collaboration.

2. Sample Requests

2.1 Requesting Samples
  • If applicable, you may request product samples for the collaboration. The Seller will determine whether the samples are provided.

3. Video Upload and Review Process

3.1 Video Review Process
  • The video you submit for the collaboration must undergo review by TikTok Shop and, if applicable, the Seller.
  • The video may be subject to two possible review scenarios:
3.1.1 No Seller Review Required - Once TikTok Shop reviews and approves the video, you will be paid the flat fee, and the video will be posted automatically.
- Note: The product featured in this collaboration will not appear in your personal product showcase.
3.1.2 Seller Review Required - Seller Approval: If the Seller approves the video within 14 days, you will be paid the flat fee, and the video will be posted manually by the Seller. - Seller Rejection: If the Seller rejects the video within 14 days, you will not receive the flat fee, and the video will not be posted. You will need to submit a revised video within 7 days. If no revision is submitted within this time frame, the collaboration will be canceled. - Seller Inaction: If the Seller does not take action within 14 days, you will still receive the flat fee, but the video will not be posted automatically. The Seller may choose to post the video manually.
3.1.3 Excessive Rejections: If the Seller rejects your video five times and does not approve it, the collaboration will be canceled, and you will not receive the flat fee.

4. Payment and Use of Video

4.1 Flat Fee Payment
  • You will receive the agreed-upon flat fee from TikTok Shop once the video is approved and posted (either automatically or manually by the Seller).
4.2 Video Usage
  • You authorize the Seller to use the video as an advertisement during the authorization period. You may not edit, delete, or change the product link during this period.
  • The video will be synced to the TikTok Account Manager (TTAM) material library, where the seller can use it for direct advertising.

5. Cancellation of Collaboration

5.1 Cancellation
  • If the collaboration is canceled, either by you or the Seller, you will not be compensated unless the video has been approved and posted in accordance with these terms.

6. Liability and Indemnification

6.1 Creator Responsibilities
  • You are responsible for ensuring your video complies with all applicable guidelines and policies. You agree to indemnify TikTok Shop and the Seller against any claims arising from your content.
6.2 Platform Liability
  • TikTok Shop is not liable for any claims, damages, or losses resulting from your actions, the Seller’s actions, or the outcomes of the collaboration.

7. General

a. TikTok is not responsible for any event of force majeure (including natural disasters, activities subject to the instructions of government agencies, cyberattacks, pandemic, actions taken by governments meeting the 'force majeure' definition), system failure qualifying as 'force majeure', actions of third parties (other than our subcontractors), which results in loss, damage or disappointment suffered by you as a result of your participation in (or inability to join) the Flat Fee Collaboration program.b. TikTok does not assume any responsibility or liability for any inaccurate or failed electronic data transmission, technical faults, failed entries nor any inaccessibility or unavailability of the internet or any other equipment not in our control, except to the extent we are responsible for such failure or unavailability. c. Through participating in this Flat Fee Collaboration program, you acknowledge and agree that TikTok makes no guarantee regarding collaboration or content effectiveness; content effectiveness may be influenced by various factors, and TikTok does not promise or guarantee any specific sales growth or performance improvement.
d. In the event of any dispute arising, or relating to the corresponding interpretation of these Terms, TikTok's decision shall be final and binding on all parties. e. Other than as expressly set out in these Terms, TikTok does not make any promises or commitments about the program, or the TikTok Shop platform, or its reliability, availability, or ability to meet your needs. f. If any of the terms herein are found to be illegal, invalid or otherwise unenforceable, then they shall be deleted from these Terms and the remaining terms shall survive and remain in full force and effect.g. TikTok Shop reserves the right to modify or amend these Terms at any time. Any changes will be communicated to you via the platform.
