Challenge Terms and Conditions for Creators (“Participation Terms”)
Your participation is subject to (i) TikTok’s Terms of Service; (ii) TikTok Shop Creator Terms of Use; (iii) TikTok Shop Creator Privacy Policy; (iv) TikTok’s Community Guidelines; and (v) any other terms, conditions, and/or rules published or made available by TikTok, as such terms may be amended from time to time (the “Platform Documents”). You further acknowledge and agree that all content provided by you in connection with this Challenge (“Content”) is “User Content” as such term is defined in Terms of Service. To the extent there is any conflict or inconsistency between the provisions of these Participation Terms and the provisions of the Platform Documents, the provisions of these Participation Terms shall control.Challenge is subject to all applicable federal, state, and local laws. By participating, each Contestant agrees to abide by these Participation Terms and the Platform Documents and decisions of TikTok, which shall be final and binding in all respects relating to this Challenge.

“Content” is defined as | Short videos that last at least 40 seconds, have at least 100 views, shot in high resolution (at least 1080p), have clear audio (i.e., no background noise). |
Employees of TikTok Inc. (“TikTok”), its parent, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win.
HOW TO PARTICIPATE: Contestants must meet the requirements in the participation requirements listed in Exhibit A (“Participation Requirements”), the Content Requirements (defined below), and any additional requirements, if any, in Exhibit B, which also lists the prizes, which will all be used to determine the winners of the Challenge.
Content, engagement, sales or revenue generated by script, macro, or other automated means or by any means which subvert the submission process are void. There is no limit on the number of Content a Contestant can make, unless stated otherwise.
CONTENT REQUIREMENTS: The following requirements collectively shall be the “Content Requirements”:
Content should be appropriate for an audience of 13 or older. Content must be the original work of the Contestant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity.
Content may not contain, as determined by TikTok, in its sole discretion, any content that:
- is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
- promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
- is obscene or offensive;
- endorses any form of hate or hate group;
- appears to duplicate any other submitted content;
- defames, misrepresents, or contains disparaging remarks about TikTok or its products or services, or other people, products, or companies;
- contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission, to the extent permission is necessary;
- contains any personal identification, such as license plate numbers, e-mail addresses, or street addresses;
- contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission, to the extent permission is necessary;
- contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
- contains look-alikes of celebrities or other public or private figures, living or dead;
- communicates messages or images inconsistent with the positive images and/or goodwill to which TikTok wishes to associate; and/or
- violates any law and the Platform Documents.
- if Participation Requirements include a short video, verbally disclose at the start of each video that the video was created in connection with TikTok Shop's Challenge and use any and all proper disclosures and labels;
- if Participation Requirements include a livestream, verbally disclose at the start of each livestream and periodically throughout the livestream that the livestream was created in connection with TikTok Shop's Challenge and use any and all proper disclosures and labels; and
- if samples were provided for free, verbally disclose at the start of each video (for livestream, at the start of the livestream and periodically throughout the livestream), that the samples were provided for free from applicable party (e.g., TikTok, brand, etc.) and use any and all proper disclosures and labels.
TikTok may disqualify Contestant for any reason, including if it determines, a failure to conform to these Participation Terms in any way or otherwise contains unacceptable content as determined by TikTok, in its sole discretion.
PUBLICITY GRANT AND LICENSE/USE OF SUBMISSIONS: In addition to, and without limiting, the rights and licenses granted to TikTok in the Terms of Service, Contestant hereby grants to TikTok and its affiliates, successors, licensees and assigns, all necessary rights and licenses to the Content, including, without limitation, an unconditional, perpetual, worldwide, non-exclusive, irrevocable, fully paid, royalty-free and fully transferable license to (a) store, access, cache, reproduce, process, adapt, edit, create derivative works from, host, stream, transmit, communicate, make available, distribute, publicly perform, publicly display, and otherwise exploit the Content in any form or medium, whether now known or later developed, and make, use (including, without limitation, in and in connection with paid media and sponsor integrations and/or placements), transfer, import, and exercise any and all such rights in and to the Content, (b) in TikTok’s sole discretion, use and make any reproductions and/or recordings of the Content (or any elements thereof) or any other assets or content provided by Contestant to TikTok, necessary or desirable to distribute, facilitate, market and/or promote (for paid advertising, sponsorships, or otherwise) the Content on the Platform or on TikTok’s official social media accounts (e.g., Twitter, Instagram, Facebook, YouTube), and (c) reference Contestant’s name and participation in the Program in blog posts, press releases, and other media. Contestant also agrees that such license to TikTok extends to TikTok’s use of Contestant’s name, voice, image, likeness, and biographical information, including, without limitation, use in and in connection with the Content, the advertising, publicity, promotion, and exploitation of the Content, the Program and/or the Platform, and in paid media. TikTok, in its discretion (based on its good faith assessment of potential music, intellectual property and other rights issues), may “geo block” certain countries so that the Content is not viewable in those countries, and TikTok makes no representation or warranty as to the availability of the Content in a particular country. Released Parties are not responsible for any unauthorized use of submissions by third parties. TikTok has no obligation to make use of the rights granted herein.
WINNER DETERMINATION: The Contestants who participated in the Challenge, met the Participation Requirements and Content Requirements will be evaluated by TikTok, in its sole discretion, to determine potential winners. In the event of a tie at any prize level, the winner will be determined based on additional criteria (e.g., the Contestant who was first-in-time) at TikTok’s sole discretion. TikTok reserves the right to not award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Contestants. All decisions of TikTok are final and binding.
WINNER NOTIFICATION: Potential winners will be notified by email or other TikTok Shop on-platform methods and may be required to execute and return a Declaration of Eligibility and a Liability and Publicity Release, unless prohibited by law. If a potential winner does not respond to the initial notification within the time period stated, does not agree to and/or return all required documentation within the time period stated, or if a notification is returned as undeliverable, or such potential winner is not in compliance with these Participation Terms, such potential winner will be disqualified and, at TikTok’s discretion, a runner-up will be notified. Winners will be officially announced within sixty (60) days following the end of the Challenge Period.
LEADER BOARD: Any leader board may not be accurate or in real-time. TikTok reserves the right to alter the leader board display for any Contestant due to technical issues or if there has been unsportsmanlike or other behavior prohibited by these Participation Terms. A Contestant is not a winner even if the leader board should so indicated unless and until TikTok has verified the winner and their total revenue and officially announced such Contestant as a winner.
PRIZES: The prizes are listed in Exhibit B.
GENERAL DISCLAIMERS:All prize details are at TikTok’s sole discretion. Winners may not substitute, assign or transfer a prize, but TikTok reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. Any prize is not redeemable for cash, unless the prize is cash. Winners are solely responsible for any and all federal, state and local taxes, including income and withholding taxes, associated with acceptance and use of a prize. Winners are solely responsible for all expenses, costs or fees associated with acceptance and use of the prize which may not be specified herein, including but not limited to, any and all taxes (if any). Upon fulfilling the prize, TikTok is deemed to have awarded the prize to the winner and such winner assumes full responsibility for the prize. Each winner will be required to provide any requested tax reporting information (as applicable) before any prize is awarded. The value of the prize awarded to a winner should be reported for tax purposes as required by law.
If this Challenge provides Promote Coupons as prizes, Promote Coupons are subject to the Promote Terms, including but not limited to specific redemption requirements and expiration as further detailed in the invitation. Multiple Promote Coupons may be provided instead of a single Promote Coupon for the value of the prize, as determined, in the sole discretion of TikTok.
If this Challenge provides Shop Coupons as prizes, Shop Coupons are subject to the TikTok Shop Coupon Terms and Conditions in Exhibit C, including but not limited to specific redemption requirements and expiration as further detailed in the invitation. Multiple Shop Coupons may be provided instead of a single Shop Coupon for the value of the prize, as determined, in the sole discretion of TikTok.
If this Challenge provides cash as prizes, winners may need to submit pay-out information in order to redeem the prize within thirty (30) days of receiving the initial request pay-out information. Each potential winner acknowledges and agrees if pay-out information is not submitted within thirty (30) days of requesting such information, this will be deemed forfeiture of the prize.
Winners may be required to submit personal information to redeem the prize.
A Contestant has the opportunity to win only one prize, unless stated otherwise.
GENERAL CONDITIONS: By participating, each Contestant agrees to release, discharge, and hold harmless TikTok, its parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses, and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Contestant’s participation in the Challenge or any Challenge-related activity or the acceptance, possession, reliance, use or misuse of any awarded prize.
Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled content, messages, email, mail or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Challenge, including, without limitation, errors or difficulties which may occur in connection with the administration of the Challenge, the processing of content, the tabulation of revenue generated during the Challenge Period, the announcement of the prizes, or in any Challenge-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by platform users, tampering, hacking, or by any equipment or programming associated with or utilized in the Challenge. Released Parties are not responsible for injury or damage to any person's computer or other device related to or resulting from participating in this Challenge or downloading materials from or use of the platform. Persons who tamper with or abuse any aspect of the Challenge or platform, who act in an unsportsmanlike or disruptive manner, or who are in violation of these Participation Terms, as solely determined by TikTok, will be disqualified. Should any portion of the Challenge be, in TikTok’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, or other causes which, in the sole opinion of TikTok, corrupt or impair the administration, security, fairness, or proper play, or submissions, TikTok reserves the right at its sole discretion to suspend, modify or terminate the Challenge and, if terminated, at its discretion, proceed with the Challenge as otherwise deemed fair and appropriate by TikTok. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, TIKTOK RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
USE OF DATA: TikTok will be collecting personal data about the Contestants in accordance with TikTok Shop’s Creator Privacy Policy.
WINNERS LIST: To receive the names of the winners, send a self-addressed stamped envelope to TikTok address noted below, by no later than thirty (30) days after the end of the Challenge Period.

The video will be assessed by a panel from TikTok against the following criteria and respective weights:
- Informative (40%): Provide useful tips and knowledge that can help other TikTok Shop Affiliate Creators to grow their business.
- Engaging (30%): Able to maintain viewers' attention to finish the whole video.
- Easy to understand (30%): Straight to the point, using plain English.

We may make changes to these Coupon Terms. The “Last Updated” date above indicates when these Coupon Terms were last changed. If we make future changes, we may provide you with notice of such changes, such as by sending an email, providing a notice through our TikTok Shop (or our other services), or updating the date at the top of these Coupon Terms. Unless we say otherwise in our notice, the amended Coupon Terms will be effective immediately, and your use of any TikTok Shop Coupons after we provide such notice will confirm your acceptance of the changes. Any such changes will not apply to any dispute between you and TikTok arising prior to the date on which we posted the amended Coupon Terms, or otherwise notified you of such changes.
1. Additional terms and conditions (including but not limited to the TikTok Shop Coupon validity period, value, availability, applicability, and eligibility criteria) will accompany and apply to any TikTok Shop Coupons made available to you ("Additional Terms"). In case of any irreconcilable conflict between the Additional Terms and these Coupon Terms, the Additional Terms will prevail.
2. TikTok does not guarantee that you will receive any TikTok Shop Coupons. You must satisfy the Additional Terms communicated to you in order to receive TikTok Shop Coupons.
3. TikTok Shop Coupons can only be used for purchases of eligible products on TikTok Shop, subject to the availability of stock of such eligible products and the terms and exclusions set forth in these Coupon Terms or the Additional Terms made available to you.
4. TikTok Shop Coupons can only be used on TikTok Shop and may not be used on any third-party websites or apps.
5. To use any TikTok Shop Coupon, you must have an account on the TikTok platform, be offered the TikTok Shop Coupon by TikTok, and be eligible to make a purchase on TikTok Shop in accordance with TikTok Buyer Policy. To the extent not already applied to any eligible product(s) in your cart, you must apply the TikTok Shop Coupon during the applicable promotion period specified in the Additional Terms to the eligible product(s) in the purchase cart and follow any relevant instructions provided to you.
6. Each TikTok Shop Coupon may only be redeemed once against one order of eligible product(s) on TikTok Shop.
7. We may limit the total number of TikTok Shop Coupons, which includes Shipping Coupons, Merchant Coupons (defined below), and other promotional discounts that may be applied to a single product.
8. If you placed an order from TikTok Shop using a Shipping Coupon and applied for a refund after the order was shipped, then you will not be able to use that Shipping Coupon again or redeem it for cash, credit or any other form of compensation. Otherwise, if you request a refund for an order from TikTok Shop to which you applied a TikTok Shop Coupon, then (i) the TikTok Shop Coupon discount will be subtracted from the refund you receive, and (ii) you may re-use that TikTok Shop Coupon, subject to these Coupon Terms and any Additional Terms.
9. If a TikTok Shop Coupon is granted to you (or you are entitled to a TikTok Shop Coupon) as a result of a previous order you have placed, and this previous order is refunded or otherwise cancelled for any reason, then the TikTok Shop Coupon granted to you will become void and invalid (and you will no longer be entitled to use such TikTok Shop Coupon).
10. TikTok Shop Coupons are non-transferable and non-exchangeable and may not be redeemed for cash, credit or any other form of compensation.
11. If any TikTok Shop Coupons, or the grant of any TikTok Shop Coupons, are prohibited in the jurisdiction in which you are based, such TikTok Shop Coupons will be void.
12. You will be responsible for the payment of any applicable taxes related to your receipt or use of any TikTok Shop Coupons. TikTok will have no liability to you for any such taxes.
13. Merchants on TikTok Shop may offer their own coupons to you, as notified and indicated on the coupons to you by the relevant merchant (“Merchant Coupons”). Your use of a Merchant Coupon is between you and the relevant merchant and that merchant will be solely responsible for that Merchant Coupon. To the extent permitted under applicable law in your jurisdiction, a merchant may withdraw or cancel Merchant Coupons and, in such circumstances, that merchant will be solely responsible and liable for any such withdrawal or cancellation. You and the merchant are responsible for resolving any dispute in relation to your use of Merchant Coupons between you and merchants. TikTok may facilitate communications between you and merchants, but TikTok is not a party to any such dispute and has no obligation to participate in the discussions or resolution for such dispute.
14. TikTok Shop Coupons may be used in conjunction with Merchant Coupons, subject to Section 7 of these Coupon Terms and any applicable Additional Terms. If you are entitled to use a Merchant Coupon and TikTok Shop Coupon for the same product, then you will only be entitled to use the TikTok Shop Coupon after you have already applied and benefited from any price reduction offered by the Merchant Coupon on that product.
15. If an order from TikTok Shop that you applied a Merchant Coupon to is refunded, then (i) the Merchant Coupon discount will be subtracted from the refund you receive, and (ii) you may be able to re-use that Merchant Coupon, subject to rules for the Merchant Coupon as set up by the merchants.
16. TikTok may withdraw or cancel any TikTok Shop Coupon granted to you, or withhold any TikTok Shop Coupon you may otherwise be entitled to receive, in its reasonable discretion, including if TikTok detects any activities conducted by you in material violation of TikTok’s applicable terms and policies (for example, fraud or illegal activity).
17. These Coupon Terms are governed in accordance with, and all disputes arising out of or in connection with these Coupon Terms will be subject to the applicable 'Governing Law and Jurisdiction' provisions of the TikTok Terms of Service.
