TikTok Shop Managed Service Plan Creator Terms

These Managed Service Plan Creator Terms (“Creator Terms”) govern Creator’s contribution to campaigns, collaborations, or promotional activities conducted by TikTok related to the managed services plan described herein (the “Managed Service Plan”).
These Creator Terms apply solely to Creator’s contribution to the Managed Service Plan. Creator’s general use of TikTok Shop and participation in other creator activities remain governed by the applicable TikTok Shop Creator Terms of Use, Campaign Terms and Conditions, Flat Fee Terms and Conditions, and any other creator-facing terms or policies made available through the Platform (collectively, the “Creator Platform Terms”). In the event of a conflict between these Creator Terms and the Creator Platform Terms, these Creator Terms will govern solely with respect to Creator’s participation in the Managed Service Plan.
By accepting a collaboration, task, campaign, or invitation designated as conducted by TikTok and part of the Managed Service Plan, Creator agrees to these Creator Terms.
Creators participating in Managed Service Plan campaigns are engaged by TikTok. Creators are not engaged by, and do not contract directly with, the sellers whose products may appear in the content provided.
(a) TikTok as Sole Payor. All compensation payable to Creator for participation in a Managed Service Plan campaign -- whether structured as a flat fee, transaction-based commission, performance bonus, or other incentive -- is the sole and direct payment obligation of TikTok, acting on its own behalf and from its own funds, and is not a pass-through of funds from any seller. Creator has no right to seek payment directly from any seller for content provided under the Managed Service Plan. Any references in the Platform interface to "commission," "referral fee," "incentive," or similar terminology in connection with the Managed Service Plan refer to compensation payable by TikTok under these Creator Terms and not by any seller.
(b) Payment Processing. Payments will be processed through the Platform’s existing Ccreator payment systems applicable in the relevant market. Where compensation is calculated on a transactional basis, the eligibility, calculation methodology, and exclusions (including but not limited to refunds, cancellations, invalid activity, or other adjustments) will be determined by TikTok and disclosed in the applicable interface.
(c) Right to Discontinue Campaigns. The Platform may, for operational or business reasons, modify, suspend, or discontinue any Managed Service Plan campaign, or a Creator’s participation in it, at any time. Should a campaign be discontinued, Creator will be paid for all eligible compensation earned up to the effective date of discontinuation.
(i) Payment Upon Discontinuation. Should a Managed Service Plan campaign be discontinued by the Platform, the Creator will be paid for all eligible compensation earned while participating in such Managed Service Plan campaign up to the effective date of discontinuation.
(d) Withholding and Offsets. The Platform reserves the right to withhold, offset, or adjust payments in cases of: (i) Creator's failure to deliver content that complies with campaign requirements, (ii) fraud, (iii) policy violations, (iv) returned orders or refunded transactions, or (v) other invalid activity, as provided under the Creator Platform Terms.
(e) Creator Responsibilities. Creator is solely responsible for all taxes, reporting obligations, and compliance associated with any compensation received under the Managed Service Plan. Creator acknowledges that standard affiliate tools or tiered commission features otherwise available on the Platform may not apply to Products enrolled in the Managed Service Plan.
For Managed Service Plan campaigns:
Payments will be processed through the Platform’s existing creator payment systems applicable in the relevant market.
TikTok reserves the right to withhold, offset, or adjust payments in cases of: (a) Creator's failure to deliver content that is approved by TikTok in accordance with Section 4, (b) fraud, (c) policy violations, (d) returned orders, (e) refunded transactions, or (f) other invalid activity, as provided under the Creator Platform Terms.
Creator is solely responsible for all taxes, reporting obligations, and compliance associated with compensation received under the Managed Service Plan.
Where compensation is calculated on a transactional basis, eligibility, calculation methodology, exclusions (including refunds, cancellations, logistics fees, platform fees, invalid activity, or other adjustments), and timing will be determined by TikTok and disclosed in the applicable interface.
TikTok may modify terms for future campaigns at any time. For an active campaign, TikTok reserves the right to discontinue the campaign prior to its end date by providing reasonable notice to Creators. Should a campaign be discontinued, Creators will be paid for all eligible commissions earned up to the effective date of discontinuation. Creator acknowledges that standard affiliate tools or tiered commission features may not apply to Products enrolled in the Managed Service Plan.
Creator agrees to comply with:
Creator further acknowledges that participation in the Managed Service Plan does not create any ongoing service obligation by TikTok and does not entitle Creator to continued access to Managed Service Plan campaigns.
Creator acknowledges that content created under the Managed Service Plan may be used by TikTok in connection with:
By participating in a Managed Service Plan campaign in the United States, Creator acknowledges and agrees to this Schedule A in conjunction with the Creator Terms.
By participating in a Managed Service Plan campaign in the United Kingdom or European Union, Creator acknowledges and agrees to this Schedule B in conjunction with the Creator Terms.
By participating in a Managed Service Plan campaign in Japan, Creator acknowledges and agrees to this Schedule C in conjunction with the Creator Terms.

1. Nature of the Managed Service Plan
The Managed Service Plan is a services initiative under which TikTok procures content and associated advertising services for use on the Platform.Creators participating in Managed Service Plan campaigns are engaged by TikTok. Creators are not engaged by, and do not contract directly with, the sellers whose products may appear in the content provided.
2. Engagement and Relationship
For Managed Service Plan campaigns:- Creator is engaged by TikTok (or its applicable affiliate) and not by a seller.
- Creator has no authority to bind any seller.
- Creator’s relationship with TikTok remains that of an independent contractor under the applicable TikTok Shop Creator Terms of Use.
3. Compensation and Payment
For all campaigns designated as part of the Managed Service Plan, the following terms apply:(a) TikTok as Sole Payor. (e) Creator Responsibilities. Creator is solely responsible for all taxes, reporting obligations, and compliance associated with any compensation received under the Managed Service Plan. Creator acknowledges that standard affiliate tools or tiered commission features otherwise available on the Platform may not apply to Products enrolled in the Managed Service Plan.
For Managed Service Plan campaigns:
- All compensation is the sole and direct payment obligation of TikTok, acting on its own behalf and from its own funds, except as expressly described in Section 3.1, below and is not a pass-through of funds from any seller.
- Creator has no right to seek payment directly from any seller for content provided under the Managed Service Plan, unless a campaign reverts to the standard platform commission model as described in Section 3.1.
- Any references in the Platform interface to "commission," "referral fee," "incentive," or similar terminology in connection with the Managed Service Plan refer to compensation payable by TikTok under these Creator Terms and not by any seller, unless otherwise specified.
Payments will be processed through the Platform’s existing creator payment systems applicable in the relevant market.
TikTok reserves the right to withhold, offset, or adjust payments in cases of: (a) Creator's failure to deliver content that is approved by TikTok in accordance with Section 4, (b) fraud, (c) policy violations, (d) returned orders, (e) refunded transactions, or (f) other invalid activity, as provided under the Creator Platform Terms.
Creator is solely responsible for all taxes, reporting obligations, and compliance associated with compensation received under the Managed Service Plan.
Where compensation is calculated on a transactional basis, eligibility, calculation methodology, exclusions (including refunds, cancellations, logistics fees, platform fees, invalid activity, or other adjustments), and timing will be determined by TikTok and disclosed in the applicable interface.
TikTok may modify terms for future campaigns at any time. For an active campaign, TikTok reserves the right to discontinue the campaign prior to its end date by providing reasonable notice to Creators. Should a campaign be discontinued, Creators will be paid for all eligible commissions earned up to the effective date of discontinuation. Creator acknowledges that standard affiliate tools or tiered commission features may not apply to Products enrolled in the Managed Service Plan.
4. Content Creation and Approval
Creator is the publisher of all content posted to their account and is solely and exclusively responsible for it. Creator acknowledges and agrees that while TikTok may provide guidelines or best practices, TikTok is not the approver or publisher of the content. Creator retains final control and liability for all content published under their account.Creator agrees to comply with:
- all applicable advertising, endorsement, and consumer protection laws;
- disclosure requirements regarding sponsored content and material connections;
- Platform policies; and
- campaign-specific requirements communicated at the time of participation.
5. No Employment or Benefits
Creator acknowledges and agrees that:- Creator is not an employee of TikTok.
- Creator is not entitled to wages, overtime, benefits, workers’ compensation, unemployment insurance, or other employee benefits.
- Creator is responsible for Creator’s own business expenses, equipment, personnel, and production costs unless otherwise expressly agreed in writing.
Creator further acknowledges that participation in the Managed Service Plan does not create any ongoing service obligation by TikTok and does not entitle Creator to continued access to Managed Service Plan campaigns.
6. Intellectual Property
With respect to any content created for the Managed Service Plan ("Plan Content"), Creator grants TikTok a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works from, display, and perform the Managed Service Plan Content in any and all media. This license includes the express right for TikTok to sublicense the Managed Service Plan Content to the sellers whose products are featured, for their use in connection with the Platform.Creator acknowledges that content created under the Managed Service Plan may be used by TikTok in connection with:
- advertising and promotion across TikTok channels,
- performance optimization, and
- marketing of the Managed Service Plan.
7. Suspension or Removal from Managed Service Plan
Subject to the notice requirements set out in the applicable Creator Platform Terms, as applicable, TikTok may suspend, remove, or restrict Creator’s participation in the Managed Service Plan:- for violations of law, policy, or campaign requirements;
- for suspected fraud or abusive conduct;
- where required for legal, regulatory, or reputational reasons; or
- Otherwise as provided in the Creator Platform Terms.
8. Governing Law
These Creator Terms are governed by the governing law and dispute resolution provisions set forth in the applicable Creator Platform Terms for Creator’s marketplace.SCHEDULE A: UNITED STATES
Regional Schedule for the United States (Creator)
This Regional Schedule applies to Creators participating in the Managed Service Plan (as defined in the Managed Service Plan Creator Terms) in the United States. This schedule forms part of the Managed Service Plan Creator Terms (“Creator Terms”).- Regional Provisions
By participating in a Managed Service Plan campaign in the United States, Creator acknowledges and agrees to this Schedule A in conjunction with the Creator Terms.
SCHEDULE B: UNITED KINGDOM & EUROPEAN UNION
Regional Schedule for the United Kingdom & European Union (Creator)
This Regional Schedule applies to Creators participating in the Managed Service Plan (as defined in the Managed Service Plan Creator Terms) in the United Kingdom and the European Union. This schedule forms part of the Managed Service Plan Creator Terms (“Creator Terms”).- Regional Provisions
By participating in a Managed Service Plan campaign in the United Kingdom or European Union, Creator acknowledges and agrees to this Schedule B in conjunction with the Creator Terms.
SCHEDULE C: JAPAN
