TikTok Shop Early Settlement Program Terms

1. Acceptance of these Early Settlement Terms.

2. Early Settlement; Accelerated Payouts; Setoff Rights.

(a) Early Settlement Program. TT Commerce & Global Services may, in its sole discretion, offer eligible Sellers the option to enroll in the Early Settlement Program to receive accelerated or early settlement of amounts that would otherwise be payable to Seller for completed or pending transactions for Your Products on the Platform. Participation in the Early Settlement Program is voluntary and subject to eligibility criteria, payout timing, settlement schedules, fees, discount rates, and other terms as determined by TT Commerce & Global Services from time to time and communicated through the Seller Portal or other written notice.
(b) Eligibility Criteria for Early Settlement Program. In order to be eligible to access the Early Settlement Program, you must meet the following requirements:

• Your account must have been active for at least 6 months.
• You must have demonstrated stable business performance over the most recent 3 months before registration.
• You must maintain a record free of any fraudulent or suspected fraudulent activities.
• You must satisfy any other criteria as we may determine from time to time in our sole discretion.

(c) Nature of Early Settlement. You acknowledge and agree that any amounts made available to you or on your behalf through the Early Settlement Program represent an advance of anticipated settlement proceeds arising from the receivables due to you generated from completed transactions involving Your Products through the Platform, and do not constitute a loan, credit extension, or financing arrangement. TT Commerce & Global Services does not guarantee that you will earn any minimum amount of future sales proceeds; the Early Settlement Program simply provides earlier access to the revenue you have already earned.
(d) Reconciliation of Settlements. Amounts paid to you under the Early Settlement Program shall be reconciled against your future settlement proceeds as such proceeds become payable in the ordinary course under these Terms. TT Commerce & Global Services may automatically apply future settlement amounts to satisfy, reconcile, or offset any amounts previously advanced to you through the Early Settlement Program.
(e) Setoff and Deduction Rights. To the fullest extent permitted by law and in accordance with Section 7, TT Commerce & Global Services may deduct, withhold, recoup, or offset any amounts that you owe or may owe to TT Commerce & Global Services or its affiliates from any amounts payable to you under these Terms, including without limitation amounts arising from: (i) chargebacks, reversals, refunds, or payment disputes; (ii) non-delivery, late delivery, defective products, or failure to fulfill orders; (iii) customer refunds, cancellations, or returns; (iv) violations of these Terms or applicable Platform policies; and (v) any fees, penalties, damages, or indemnification obligations owed by you.
(f) Insufficient Future Proceeds. If your future settlement proceeds are insufficient to satisfy amounts previously advanced or otherwise owed, you remain responsible for the outstanding balance, and TT Commerce & Global Services may pursue any rights or remedies available under these Terms or applicable law, including suspension of your access to your Seller Center account, your ability (and/or the ability of the company or other entity you represent) to offer and sell products on TikTok Shop.
(g) Withdrawal or Discontinuation. If you participate in the Early Settlement Program and later wish to withdraw, visit the Seller Center to turn off future advances. TT Commerce & Global Services reserves the right to discontinue the Early Settlement Program at any time and without advance notice. In the event of withdrawal or discontinuation, you remain responsible for fully satisfying all amounts previously advanced to or otherwise owed by you.
(h) No Waiver of Other Rights. Participation in the Early Settlement Program does not limit TT Commerce & Global Services’ rights under Section 7 (Payments and Payment Services to You) under the Seller Terms or elsewhere in these Early Settlement Terms, including TT Commerce & Global Services’ rights to withhold payments, delay settlement, or require reserves as permitted under these Terms.

3. General Provisions.

(a) Severability. If any provision of these Early Settlement Terms is found to be illegal, invalid, or unenforceable, the provision will be severed, and the remaining terms will remain in full force and effect.
(b) Modifications to Terms. TT Commerce & Global Services reserves the right to modify or update these Early Settlement Terms at any time. Any updates will be communicated, and continued participation in the Early Settlement Program will be deemed acceptance of these changes.
(c) General Provisions. These Early Settlement Terms are governed by the same General Provisions set forth in the Seller Terms, including dispute resolution, arbitration clauses, and any other related legal provisions, which are incorporated by reference into these Early Settlement Terms.
