TikTok Shop will offer incentives based on increased FBT utilization by sellers to fulfill customers' orders. Eligible sellers will need to opt-in to participate in the incentive program.

In case of discrepancies between the English text version of this Agreement (defined below) and any translation, the English version shall prevail.

TikTok Shop 2026 FBT Quarterly Incentive Program

Eligibility

In order to be eligible for the Incentive Program:

1. You must have entered into the FBT ToS by registering an account on the Company's FBT Merchant Portal or otherwise using the Company's FBT program; and
2. You must opt-in to the Incentive Program.

Incentive Program Period

The Incentive Program begins on April 1, 2026, 00:00:00 UTC-7 ends on September 30, 2026, 23:59:59 UTC-7 (the "Incentive Program Period").

Definitions

All terms used but not defined in these Program Terms have the meaning given to such terms in the FBT ToS.
"Baseline FBT Orders" means the total number of Customer FBT Orders during the month of February 2026.
"Baseline FBT Units" means the total number of individual units included within the Baseline FBT Orders.
"Customer FBT Order" means an order placed by a customer from any TikTok Shop store operated by Participant and successfully delivered through FBT.
"Customer FBT Unit" means each individual unit included within a Customer FBT Order.
"Fulfillment Fee" means only the "FBT Fulfillment Fee" portion of the Rate Card.
"Incentive Month" means a full calendar month during the Incentive Program Period beginning on the first day of the calendar month and ending on the last day of the calendar month. Each full calendar month of April, May, June, July, August, and September 2026 is an Incentive Month.
"Participant" means a TikTok Shop seller that is eligible for the Incentive Program and opted-in to the Incentive Program.
"Threshold FBT Units" means Baseline FBT Units + 600 Customer FBT Units. For example, if Baseline FBT Units was 200, Threshold FBT Units would be 800 Customer FBT Units.

Incentive Eligible Orders

At the end of each Incentive Month, the Company will:

1. calculate the amount of Participant's Customer FBT Units during such month; and
2. compare the amount of such orders against Participant's Threshold FBT Units.

If Participant's Customer FBT Units during the applicable Incentive Month meets or exceeds the Participant's Threshold FBT Units, then the amount of Participant's Customer FBT Units during such month that exceeds Participant's Baseline FBT Units will be eligible to receive the Incentives (defined below) (each such unit an "Incentive Eligible Unit" and, collectively, the "Incentive Eligible Units").
Examples:
For the avoidance of doubt, the Incentive Eligible Units will only be comprised of the earliest Customer FBT Units that were delivered during the applicable Incentive Month based on the package delivery timestamps.
Incentives are calculated on an Incentive Month basis, do not carry over to the next Incentive Month, and reset at the beginning of each Incentive Month. None of the terms and/or requirements will be pro-rated; any Participant that opts-in after the beginning of an Incentive Month will be required to meet the requirements for the full Incentive Month.

Incentive Description

Subject to the terms and conditions stated in these Program Terms, Participant will receive FBT Fulfillment Fee reimbursement incentives (the "Incentives") for each Incentive Eligible Unit as follows:

1. Participant will receive a Fulfillment Fee reimbursement equal to ten percent (10%) of the Fulfillment Fees paid for each Incentive Eligible Unit; capped at USD $1.00 per such unit.
2. If Participant is eligible for other Service Fee discounts/reductions, including, but not limited to, SIOC, etc., the Incentive amount for each Incentive Eligible Unit cannot exceed the amount of Fulfillment Fees actually paid by Participant for such unit.

Settlement

1. After the end of each Incentive Month, the Company will calculate and reconcile the amount of earned Incentives, if any, for such Incentive Month. The Company will make commercially reasonable efforts to pay any earned Incentives within sixty (60) days from the last day of the applicable Incentive Month.
2. The actual payment date and amount will be subject to the TikTok Shop's final settlement results. In the event of any conflict or discrepancy between the records, data, and/or other information used to calculate the Incentives (the “Calculation Data”) generated from the Company's systems and the Calculation Data generated from Participant, the Calculation Data of the Company's systems will prevail and control.
3. If Participant satisfies the Incentive requirements for an Incentive Month, only the Incentive Eligible Units for such month will be eligible for the Incentives. If Participant does not satisfy the Incentive requirements for an Incentive Month, no make-up calculation or retroactive adjustment will be made.
4. Incentives will be settled through deductions or credits applied to the logistics-side billing statements; provided, however, that the Company reserves the right to change the settlement method at any time.
5. In the event the Company discovers an overpayment of Incentives to Participant, the Company will notify Participant of such overpayment and the Company will have the option of either (i) offsetting the overpayment amount against any amounts the Company may owe Participant; or (ii) requiring Participant to refund the overpayment amount which may be in the form of a deduction from Participant's Seller Account and Participant unconditionally and irrevocably authorizes such deduction for this purpose.

Limitations and Disclaimers

1. Participation in the Incentive Program and calculation of Incentives, if any, will be on a single Seller ID basis and only for the specific Seller ID that opted-in to the Incentive Program. In no event will participation in the Incentive Program or the calculation of Incentives be performed on an aggregate basis across multiple Seller IDs even if Participant is part of an entity or organization that operates multiple TikTok Shop stores and has multiple registered Seller IDs.
2. In no event will Participant, even if Participant operates multiple TikTok Shop stores, receive Incentives for more than 600,000 units per Incentive Month during the Incentive Program Period, and any overages in any Incentive Month will not carry over to the next Incentive Month.
3. The Company has the right to determine, in its sole discretion, whether any of Participant's Customer FBT Units are eligible for the Incentives, and whether Participant has fulfilled the Incentive requirements set forth in these Program Terms.
4. The Company has the sole and exclusive right and authority to interpret the terms and conditions of the Incentive Program, and any ambiguity, conflict, or disagreement regarding such terms and conditions shall be resolved in favor of the Company's interpretation.
5. The Company reserves the right to withdraw Participant's eligibility for the Incentive Program and the Incentives if (i) fraudulent, manipulative, or policy-violating activity is suspected; (ii) Participant's TikTok Shop store is closed or has an abnormal status or violations; and/or (iii) there is an attempt to circumvent the Program Terms or the FBT ToS, and the Company shall be fully and unconditionally relieved of any and all obligations to provide Participant with any Incentives.

Participants in this Incentive Program are subject to the TikTok Fulfillment Platform Terms of Service. The Company reserves the right, in its sole discretion, to cancel, suspend or modify this incentive program at any time, with or without reason. Incentives are not transferable.
